Welcome to the website of SubKeeper Solutions, LLC (“SubKeeper Solutions,” “we,” “us,” or “our”). These Terms & Conditions govern your use of our website and establish general terms applicable to inquiries and services provided by SubKeepers Solutions.
By accessing or using this website, scheduling a consultation, or engaging SubKeepers Solutions for services, you acknowledge that you have read and understand these Terms & Conditions.
Specific client services may also be governed by a separate engagement agreement, proposal, service agreement, or other written agreement. If a provision of a signed client agreement conflicts with these Terms & Conditions regarding the services covered by that agreement, the signed client agreement will control.
1. Our Services
SubKeeper Solutions provides bookkeeping and related business support services, which may include:
• Bookkeeping and account reconciliation
• QuickBooks Online setup, cleanup, maintenance, and support
• Accounts payable support
• Financial reporting
• Payroll processing and payroll-related bookkeeping support
• Job costing and project accounting support
• Bookkeeping training and workflow assistance
• Other bookkeeping and business support services agreed upon with the client
The specific scope of services provided to each client will be established separately.
2. No Tax, Legal, Investment, or Financial Planning Advice
SubKeeper Solutions provides bookkeeping and related business support services.
We do not prepare or file income tax returns and do not provide legal, investment, or financial-planning advice.
SubKeeper Solutions strongly recommends that clients have their financial records and year-end bookkeeping reviewed by a Certified Public Accountant (CPA) or other qualified tax professional prior to the preparation and filing of any federal, state, or local tax returns.
Bookkeeping records and financial reports prepared or maintained by SubKeeper Solutions are intended to provide accurate and organized financial information based on the records and information made available to us. They should not be considered a substitute for tax review or tax advice from a qualified tax professional.
Clients remain responsible for providing their tax professional with the information necessary to prepare their tax returns and for reviewing and approving all tax filings before submission.
3. Client Responsibilities
The accuracy and timeliness of bookkeeping services depend substantially upon the information provided by the client.
Clients are responsible for providing complete, accurate, and timely records and information necessary for SubKeepers Solutions to perform agreed services.
This may include bank and credit card information, transaction documentation, payroll information, invoices, receipts, loan information, explanations of transactions, and other requested records.
SubKeeper Solutions is entitled to rely upon information supplied by the client and authorized third parties unless otherwise agreed in writing.
Delays, omissions, inaccuracies, or incomplete information may affect the accuracy of financial records and may delay completion of services.
4. Monthly Payment and Target Close Date
Monthly recurring service fees are due on the 1st of each service month.
If the 1st falls on a weekend or federal holiday, payment is due on the immediately preceding business day.
Timely payment is required to maintain the client's target monthly close date of the 15th.
For each calendar day payment is received after the applicable due date, the client's target close date will be extended by at least the same number of calendar days.
SubKeeper Solutions reserves the right to delay, pause, or suspend services while an account remains unpaid.
Payment of fees does not eliminate the client's responsibility to provide all information and records necessary to complete the work. Delays caused by missing, incomplete, inaccurate, or late client information may result in additional changes to the anticipated completion date.
5. Cancellation of Recurring Services
Recurring services require 60 days' written notice of cancellation, unless a different cancellation provision is contained in a signed agreement between the client and SubKeeper Solutions.
Fees and services during the notice period remain subject to the applicable client agreement and payment terms.
Additional refund and cancellation provisions may be described in the SubKeepers Solutions Refund Policy and applicable client agreements.
6. Payroll Services
When SubKeeper Solutions processes payroll through QuickBooks Online or an associated QuickBooks payroll service, the client is responsible for maintaining and paying for the necessary software and payroll subscriptions.
Clients are responsible for providing accurate and timely employee information, compensation information, hours worked, deductions, banking information, payroll changes, and sufficient funds necessary to process payroll and related obligations.
SubKeeper Solutions may also provide payroll-related bookkeeping support for clients using third-party payroll providers. Such support may include entry, verification, reconciliation, review, and recording of payroll information in QuickBooks Online.
When a third-party payroll provider is used, SubKeeper Solutions does not assume the contractual or operational responsibilities of that payroll provider.
7. Third-Party Software and Services
Our services may depend upon third-party products and services, including QuickBooks Online, financial institutions, payroll providers, communication platforms, document-sharing systems, and other technology providers.
SubKeeper Solutions does not control these third parties and cannot guarantee their availability, security, accuracy, functionality, performance, or continued operation.
SubKeeper Solutions is not responsible for delays, interruptions, errors, data availability issues, or other problems caused by third-party systems or circumstances outside our reasonable control.
Clients remain responsible for maintaining subscriptions, accounts, access permissions, and other third-party services required for their bookkeeping unless otherwise agreed in writing.
8. Financial Information and Business Decisions
Financial reports, bookkeeping records, summaries, and other information prepared by SubKeeper Solutions are based upon information available to us and records provided or made accessible by the client and authorized third parties.
Bookkeeping information is intended to assist clients in understanding their financial records. It does not constitute a guarantee of available cash, future performance, profitability, financing eligibility, tax outcomes, or other business results.
Business, hiring, spending, borrowing, investment, and other management decisions remain the responsibility of the client.
9. No Guarantee of Results
SubKeeper Solutions does not guarantee any particular financial, operational, tax, business, or other outcome from the use of our services, reports, website, or information.
Past results and financial information do not guarantee future results.
10. Website Information
Information provided on this website is intended for general informational purposes.
While we strive to provide useful and accurate information, website content may not reflect every client's circumstances and should not be relied upon as individualized professional advice.
We may modify, update, remove, or discontinue website content or features at any time.
11. Confidentiality and Sensitive Information
SubKeeper Solutions recognizes the importance of protecting confidential client information.
Visitors and clients should not transmit highly sensitive financial or personal information through ordinary website chat, website scheduling forms, or unsecured email.
When SubKeeper Solutions provides an approved secure communication or document-sharing method, clients should use that method for sensitive documents and information.

Nothing in these Terms & Conditions is intended to exclude or limit liability that cannot lawfully be excluded or limited.
Any additional limitations applicable to professional services may be contained in the client's written engagement agreement.
15. Indemnification
To the extent permitted by applicable law, users and clients agree to be responsible for claims, losses, liabilities, or expenses arising from their misuse of this website, violation of these Terms & Conditions, or submission of information they do not have authority to provide.
Any additional indemnification obligations applicable to professional services may be addressed in a written client agreement.
16. Governing Law
These Terms & Conditions are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute concerning professional services may also be subject to additional dispute-resolution or venue provisions contained in an applicable written client agreement.
17. Changes to These Terms
SubKeeper Solutions may update these Terms & Conditions periodically to reflect changes in our website, services, business practices, technology, or applicable requirements.
When changes are made, the Last Updated date at the top of this page will be revised.
Continued use of the website after changes are posted constitutes acceptance of the revised website Terms & Conditions to the extent permitted by applicable law.
